| CONSIGNMENT SALES AGREEMENT
This is an agreement between Abc Company, of <Company Full Address> (“<Company Short Name>”) and <Other Party>, of <Full Address> (“<Party Short Name>”). This Agreement becomes effective <effective date> and remains effective until <end date>. Let it be known that <Company Short Name> and <Party Short Name> hereby agree as follows: <Company Short Name> agrees to deliver the following goods on or before <delivery deadline> to <Party Short Name> for sales on a consignment basis: <Description of goods.> <Company Short Name> further agrees to deliver such subsequent quantities of the aforementioned goods as required to maintain <Party Short Name>’s stock levels at or above <reorder level> of the original quantity, never to exceed the original quantity unless otherwise agreed to by both parties. <Party Short Name> agrees to accept all deliveries of goods set forth above and to offer said goods for sale. <Party Short Name> accepts responsibility for all costs of storage, sale, taxation, delivery to customer and insurance on and of the goods while in <Party Short Name>’s possession. <Party Short Name> agrees on the <day> day of each month to give <Company Short Name> a full accounting of all goods sold, lost, stolen or destroyed in any manner during the previous month, and to pay <Company Short Name> <amount> per item. The provisions of this Agreement shall be severable and if any is held or declared to be illegal, invalid, or unenforceable, the remainder of this Agreement, disregarding such illegal, invalid or unenforceable portion, shall continue in full force as though such void provision had not existed, unless omission of such materially alters the rights and obligations of the parties, in which case this Agreement shall be deemed terminated. The waiver by either party of any breach of any provision of this Agreement by the other shall not be construed to be either a waiver of that party’s rights regarding any succeeding breach of any such provision of a waiver of the provision itself. This is the entire Agreement between the parties and cancels and supersedes all previous written or oral understanding, agreements, negotiations and any other commitments with respect to the matter covered in this Agreement. All modifications and amendments to this Agreement must be in writing signed by both parties. This Agreement shall be governed and construed under the laws of the State of <State>. In any action or suit to enforce any right or remedy under this Agreement or to interpret any provision of this Agreement, the prevailing party shall be entitled to recover its costs, including reasonable attorney’s fees. Nothing in this Agreement shall be construed to make either party the agent of the other for any purpose whatsoever, other than the sales agreement explicitly defined within.
